1. Acceptance of Terms

Welcome to ReviewRx, operated by TailwindX, LLC, a Wyoming limited liability company. By accessing or using our website at reviewrx.ai, our platform, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("you," "your," or "Customer") and TailwindX, LLC ("we," "us," "our," or "ReviewRx"). If you are using the Service on behalf of a healthcare practice or organization, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

ReviewRx is an AI-powered review management platform designed specifically for healthcare providers. Our Service includes:

• Patient Feedback Collection: Custom links and QR codes to collect anonymous patient feedback after appointments or services
• Review Funnel Management: Intelligent routing of patient feedback — happy patients are directed to public review platforms (such as Google or Yelp), while concerns are routed privately to you
• AI-Generated Review Responses: Automated generation of professional, HIPAA-compliant responses to online reviews using artificial intelligence
• Reputation Dashboard: Analytics, reporting, and monitoring of your online reputation across integrated review platforms
• Integration Services: Connection to third-party platforms including Google Business Profile, Yelp, and other review sites

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, although we will make reasonable efforts to notify you of material changes.

3. Account Responsibilities

3.1 Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information, including your practice name, contact information, business address, and specialty. You may register using email and password authentication or third-party authentication services (such as Google Sign-In).

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password for your ReviewRx account
• Notify us immediately of any unauthorized access or security breaches
• Not share your account credentials with others
• Log out of your account at the end of each session when using shared devices

3.3 Accurate Information

You agree to provide and maintain accurate, current, and complete information in your account profile. You are responsible for updating this information as necessary to keep it accurate.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to violate any applicable local, state, national, or international law or regulation
• Generate or post fraudulent, fake, or misleading reviews
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Include protected health information (PHI) or personally identifiable patient information in reviews, responses, or feedback submissions
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
• Use the Service to transmit malware, viruses, or any other harmful code
• Harass, abuse, threaten, or intimidate any person through the Service
• Scrape, copy, or reverse-engineer any portion of the Service
• Use automated systems (bots, scripts) to access the Service without our express written permission
• Remove, obscure, or alter any legal notices displayed in connection with the Service

We reserve the right to investigate any suspected violations of these Terms and to take appropriate action, including suspending or terminating your account.

5. Payment Terms

5.1 Subscription Plans

ReviewRx is a subscription-based service. Pricing and plan details are available on our Pricing page. By subscribing to a paid plan, you agree to pay all fees associated with your selected plan.

5.2 Billing and Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. You authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle (monthly or annually). We do not store your complete credit card information on our servers.

5.3 Free Trials

We may offer free trial periods for new customers. At the end of your free trial, your payment method will be automatically charged unless you cancel your subscription before the trial period ends. No credit card is required to start a free trial.

5.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription fee for your plan. We will provide reasonable notice of any price changes.

5.5 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date. We do not provide refunds for partial billing periods.

5.6 Refund Policy

All fees are non-refundable except as expressly stated in these Terms or required by law. If you are dissatisfied with the Service during your first 14 days of paid subscription, please contact us at support@reviewrx.ai to discuss your concerns.

5.7 Failed Payments

If your payment method fails or your account becomes past due, we reserve the right to suspend or terminate your access to the Service until payment is received. You remain responsible for all outstanding fees.

6. Intellectual Property

6.1 ReviewRx Ownership

The Service, including all software, designs, text, graphics, logos, icons, images, audio clips, data compilations, and the selection and arrangement thereof, is the property of ReviewRx or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:

• Reproduce, distribute, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Rent, lease, sell, sublicense, or transfer the Service to any third party

6.3 Customer Content

You retain all rights to any content you submit to the Service, including practice information, feedback data, and customizations ("Customer Content"). By submitting Customer Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display such content solely to provide and improve the Service.

6.4 AI-Generated Content

AI-generated review responses created through the Service are provided to you for your use. However, you are solely responsible for reviewing, approving, and posting these responses. ReviewRx does not claim ownership of the final responses you choose to publish.

7. Healthcare Disclaimer

7.1 Not a Healthcare Service

ReviewRx provides technology services for managing online reviews and patient feedback. We do not provide medical advice, diagnosis, treatment, or healthcare services of any kind. Our Service is not a substitute for professional medical advice or patient care.

7.2 No PHI Storage

Our Service is designed to collect anonymous patient feedback only. We do not collect, store, or process protected health information (PHI) as defined by HIPAA. Patient feedback submissions do not include patient names, medical record numbers, dates of birth, diagnoses, treatment information, or any other individually identifiable health information.

7.3 AI Response Disclaimer

AI-generated review responses are suggestions only and should not be considered medical, legal, or professional advice. You are responsible for:

• Reviewing all AI-generated responses before posting
• Ensuring responses comply with HIPAA and other applicable regulations
• Not including any PHI or specific patient details in responses
• Exercising professional judgment in all communications with patients

7.4 Your Compliance Responsibilities

As a healthcare provider, you are solely responsible for compliance with all applicable laws and regulations, including but not limited to HIPAA, state medical practice acts, professional licensing requirements, and advertising regulations. ReviewRx provides tools to help you manage your online presence, but we do not provide legal or compliance advice.

7.5 Third-Party Platforms

Our Service integrates with third-party review platforms such as Google and Yelp. Your use of those platforms is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of third-party platforms.

8. Data Handling and Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points:

• We collect practice information (name, address, phone, specialty) and anonymous patient feedback (star ratings and text comments)
• We use Firebase Authentication for account security and Stripe for payment processing
• All data is encrypted in transit using SSL/TLS and encrypted at rest in Google Cloud Firestore
• We use Anthropic's Claude AI to generate review responses — only anonymous feedback text is sent to Anthropic's API
• We do not sell your data to third parties

9. SMS/Text Messages

9.1 SMS Communications

ReviewRx may send SMS text messages to patients on behalf of your healthcare practice for the purpose of collecting post-visit feedback. By using the Service, you acknowledge and agree to the following SMS terms:

9.2 Message Frequency and Content

• Purpose: SMS messages are sent to request patient feedback after appointments or services
• Frequency: Message frequency varies based on your practice's usage of the Service and the number of patients you send feedback requests to
• Content: Messages contain a link to provide anonymous feedback about their recent visit
• Carrier Rates: Message and data rates may apply based on the patient's mobile carrier plan

9.3 Patient Consent and Opt-In

SMS opt-in is provided when patients give their phone number to your practice staff. By entering a patient's phone number into the ReviewRx system to send a feedback request, you represent that:

• The patient has provided their phone number to your practice
• The patient has consented to receive communications from your practice at that number
• You have obtained any necessary consent required under applicable telecommunications and privacy laws

9.4 Opt-Out and Help

Patients may opt out of SMS messages at any time by replying with the following keywords:

• STOP: Opt out of receiving further SMS messages from ReviewRx
• HELP: Receive information about the SMS program

When a patient opts out, we will immediately cease sending SMS messages to that phone number.

9.5 Data Privacy for SMS

• Phone numbers are not shared or sold to third parties
• Phone numbers are used solely for the purpose of sending the feedback request
• We do not send marketing, promotional, or unrelated content via SMS
• SMS messages do not contain any protected health information (PHI) or personal patient details

9.6 Supported Carriers

Our SMS service supports all major U.S. carriers. Message delivery is subject to carrier network availability and customer service plan limitations.

9.7 Your Responsibilities

As a healthcare practice using the SMS features of ReviewRx, you are responsible for:

• Ensuring you have appropriate consent to send SMS messages to patients
• Compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and HIPAA
• Maintaining accurate phone numbers and promptly updating or removing numbers upon patient request
• Not including PHI or sensitive information in any custom message fields (if available)

10. Limitation of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee of Results

We do not guarantee that the Service will improve your online reputation, increase your review volume, or achieve any specific business outcome. Results may vary based on factors outside our control.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REVIEWRX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
• AI-generated content that is inaccurate, inappropriate, or otherwise problematic

9.4 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Termination

10.1 Termination by You

You may terminate your account at any time by canceling your subscription from your account dashboard or by contacting us at support@reviewrx.ai. Upon termination, you will lose access to the Service at the end of your current billing period.

10.2 Termination by ReviewRx

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms
• Your account is past due on payment
• You engage in fraudulent, abusive, or illegal activity
• We are required to do so by law or legal process
• Continuing to provide the Service to you would pose a security or legal risk

10.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We will delete or anonymize your Customer Content within 30 days, except where retention is required by law or our legitimate business interests
• You remain responsible for all fees incurred prior to termination
• Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability

12. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by:

• Posting a notice on our website
• Sending an email to the address associated with your account
• Displaying a prominent notice within the Service

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

We will update the "Effective Date" at the top of this page when we make changes.
